The board of commissioners acts as the governing body for the county, various service districts, councils, and committees. It is responsible for county administration, management, and policy. The board prepares and adopts county and service district budgets and provides administrative services, support, and liaison to service districts, cities, public agencies, organizations, the Oregon Legislative Assembly, and federal and state officials. It is responsible for conducting public meetings, hearings, road vacations, private and public land sales and exchanges as well as enacting ordinances, orders, contracts, leases, and other legal agreements.

Oregon's Open Meeting laws require a public meeting if a quorum of government officials meet to talk about their business. For a three-person body, such as the Yamhill County Commissioners, quorum is two people. Thus the commissioners cannot talk to each other about Yamhill County business except in a public meeting because any two of them is a quorum. Currently, the county administrator meets one by one with the commissioners, in order to learn where things may stand with each of them.
The three Yamhill County, OR Board of Commissioners are elected for staggered 4 year terms: position 2 is elected on years divisible by four (that is, on presidential election years: 2004, 2008, ...) and positions 1 and 3 are elected on the other even years (on Oregon governor election years: 2006, 2010, ...). The board selects a chair from its members and the board allocates areas of responsibilities among itself.
The organization and procedural operation of the Yamhill County Board of Commissioners is defined by County Ordinance 754, repealing previous ordinances on this subject.
